According to Section 2 of the Companies Act of 1956, a director is anyone who is acting as a director, regardless of what they call themselves. The Articles of Association describe how directors are appointed, what their role is, how and when they retire, and how much they are paid.
The directors are essentially the brain of the company. They are the ones who are pulling the strings and making sure that everything is running in an orderly fashion. The directors come and go, sometimes new ones are added, sometimes some leave. It is not just a normal process of changing the directors, it is more about ensuring that the company has the right combination of people to keep things moving in the right direction.
