Types of Change Register Office

1. Relocating Your Registered Office Within the Same City or Town

 2. Relocating Outside the Local Limits, but Within the Same ROC

Begin by passing a board resolution. You will also require a general meeting and a special resolution from the shareholders. After that, submit Form MGT-14 within 30 days, followed by Form INC-22 within 15 days. In this scenario, shareholder approval is a requirement.

3. Relocating to a Different ROC Jurisdiction Within the Same State

You will require both board and general meetings, and you must pass a special resolution. Next, make an application to the Regional Director with Form INC-23. After receiving approval, submit Form INC-28 to the ROC, followed by Form INC-22 for the new address. You may be required to publish a public notice and notify creditors before filing.

4. Relocating from One State to Another

You must pass both a board resolution and a special resolution. Then, modify Clause II in your Memorandum of Association. Also, do not forget to publish newspaper notices and inform the creditors and depositors. After that, make an application to the Regional Director with Form INC-23. After obtaining the RD order, file both Form INC-28 and Form INC-22.

Step by Step Procedure Register office change

- List of creditors and debenture holders if you are relocating to a different state

- Declaration from directors, also required for relocation to a new state

If you are relocating to a new state, you will also require:

- Another copy of the Special Resolution

- Newspaper advertisement regarding the relocation

- Application to the Regional Director (Form INC-23)

- Regional Director’s order, which you’ll file in Form INC-28

- INC-22 to give notice about the new registered office

- MGT-14 to file the Special Resolution

- INC-23 for the Regional Director application, if required

- INC-28 to file the RD’s order
